Terms of Service
These Terms of Service ("Terms") govern your access to and use of MP3.tools (the "Service"), including any free or paid ("Premium") features. By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.
1. Acceptable Use
You are solely responsible for ensuring that you have the legal right to convert, download, or otherwise process any content you submit to the Service. You agree to use the Service only for personal, non-commercial purposes and in compliance with all applicable laws, including copyright, intellectual property, and the terms of service of any third-party platform from which the source content originates (such as YouTube).
You agree not to use the Service to infringe upon the rights of any rights holder, to circumvent technical protection measures, to redistribute downloaded content commercially, or to engage in any abusive, automated, or excessive use that may harm the Service or other users. We reserve the right to suspend or terminate access for any user we believe, in our sole discretion, is misusing the Service or violating these Terms, with or without notice.
2. Service Availability, Maintenance & Downtime
You acknowledge and accept that the Service relies on a complex backend involving third-party tools, upstream content sources, network connectivity, storage systems, and external dependencies that are outside of our direct control. As a result, downtime, interruptions, errors, delays, partial failures, and degraded performance may occur at any time, with or without notice.
We make no guarantee, express or implied, regarding the availability, uptime, performance, or reliability of the Service. The Service may be unavailable for scheduled maintenance, unscheduled maintenance, troubleshooting, or for reasons entirely outside of our control. We are not obligated to provide advance notice of downtime.
This applies equally to free users and Premium users. Purchasing or subscribing to Premium does not grant you a service-level agreement (SLA), uptime guarantee, or any contractual availability commitment unless such terms are expressly set forth in a separate, signed written agreement between you and us.
3. Premium / Paid Features
Certain features of the Service may be offered on a paid or subscription ("Premium") basis. By purchasing Premium, you authorize us (and our payment processors) to charge the applicable fees to your selected payment method. All fees are quoted and charged in the currency stated at checkout, exclusive of any applicable taxes unless otherwise stated.
Pricing, included features, usage limits, and the scope of Premium offerings may change at any time, in our sole discretion. Where reasonable, we will endeavor to notify existing subscribers of material changes that affect their current billing period.
Refunds are issued at our sole discretion and only to the extent required by applicable consumer protection law. Without limiting the foregoing, downtime, service interruptions, errors, or unavailability — alone or in combination — do not automatically entitle you to a refund, credit, or pro-rated adjustment. Subscriptions renew automatically unless cancelled prior to the next billing date.
4. Disclaimer of Warranties
THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, WE DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING OUT OF COURSE OF DEALING OR USAGE OF TRADE. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, TIMELY, SECURE, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS, OR THAT ANY DEFECTS WILL BE CORRECTED. YOUR USE OF THE SERVICE IS AT YOUR SOLE RISK.
5. Limitation of Liability
To the fullest extent permitted by applicable law, in no event shall MP3.tools, its owners, operators, affiliates, employees, agents, suppliers, or licensors be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including but not limited to loss of profits, loss of revenue, loss of data, loss of goodwill, or business interruption, arising out of or in connection with your use of, or inability to use, the Service, whether based on warranty, contract, tort (including negligence), statute, or any other legal theory, and whether or not we have been advised of the possibility of such damages.
To the fullest extent permitted by applicable law, our total aggregate liability to you for all claims arising out of or relating to the Service or these Terms shall not exceed the greater of (a) the total amount you paid to us for Premium services in the twelve (12) months immediately preceding the event giving rise to the claim, or (b) ten United States dollars (USD $10). For users of the free Service who have not paid us any amount, our total aggregate liability shall be zero United States dollars (USD $0).
Some jurisdictions do not allow the exclusion or limitation of certain warranties or liabilities (including incidental or consequential damages). To the extent that applicable law in your jurisdiction prohibits any of the limitations or exclusions in Sections 4 or 5, those limitations or exclusions shall not apply to you, and our liability shall be limited to the minimum extent permitted by such law.
6. Indemnification
You agree to defend, indemnify, and hold harmless MP3.tools and its owners, operators, affiliates, employees, agents, suppliers, and licensors from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or in any way connected with: (a) your access to or use of the Service; (b) your violation of these Terms; (c) your violation of any third-party right, including any intellectual property, privacy, or contractual right; or (d) any content you submit, convert, download, or otherwise process through the Service.
7. Changes to These Terms
We may modify these Terms at any time. When we do, we will update the "Last updated" date at the bottom of this page. Material changes may also be highlighted on the Service. Your continued use of the Service after any such update constitutes your acceptance of the revised Terms. If you do not agree to the revised Terms, you must stop using the Service.
